These Terms of Service (“Terms”) govern your access to and use of the SplitPal mobile application and website (collectively, the “Service”), provided by Legendary Bytes LLC (“Company,” “we,” “us,” or “our”).
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
1. Description of Service
SplitPal is a utility application designed to assist users in scanning receipts, calculating shared expenses, and facilitating peer-to-peer reimbursement through deep links to third-party payment applications.
2. No Financial Services & Payment Disclaimer
PLEASE READ CAREFULLY: SplitPal is not a bank, payment processor, money transmitter, or financial institution. We do not hold, transfer, or process any funds on your behalf.
Third-Party Facilitation: Any payments made to other users are processed entirely by third-party applications (such as Venmo, Cash App, PayPal, or others) chosen by you.
No Liability for Transactions: Legendary Bytes LLC is not a party to any transaction between users. We are not liable for any funds that are lost, sent to the wrong recipient, or delayed by third-party payment providers.
User Responsibility: You are solely responsible for verifying the identity of the recipient and the accuracy of the payment amount within the third-party app before confirming any transaction.
3. Accuracy of Calculations & OCR
The Service uses Optical Character Recognition (OCR) and algorithmic logic to itemize receipts and calculate splits, taxes, and tips. While we strive for accuracy, these tools are provided for informational and convenience purposes only.
Verification: You acknowledge that OCR technology may misread text or numbers. You agree to manually verify all scanned items, tax rates, and final calculations before settling any debts.
No Warranty on Math: Legendary Bytes LLC does not guarantee the accuracy of any split, tax calculation, or tip percentage provided by the Service. We are not responsible for any financial discrepancies or disputes arising from reliance on these calculations.
4. User Accounts
To use certain features of the Service, you may need to register for an account. You agree to:
Provide accurate, current, and complete information.
Maintain the security of your password and account.
Notify us immediately of any unauthorized use of your account.
You are responsible for all activities that occur under your account.
5. Third-Party Links and Services
The Service contains links to third-party websites and applications (e.g., Venmo, Cash App). These links are provided for your convenience only. We have no control over the contents, privacy policies, or practices of these third-party services, and we accept no responsibility for them or for any loss or damage that may arise from your use of them.
6. Intellectual Property
The Service and its original content (excluding user-uploaded receipt images), features, and functionality are and will remain the exclusive property of Legendary Bytes LLC and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Legendary Bytes LLC.
7. Prohibited Uses
You agree not to use the Service:
For any unlawful purpose or to solicit others to perform or participate in any unlawful acts.
To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.
To upload or transmit viruses or any other type of malicious code.
To attempt to decipher, decompile, disassemble, or reverse engineer any of the software comprising the Service.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
LEGENDARY BYTES LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF PERFORMANCE.
WE DO NOT WARRANT THAT (I) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (II) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (III) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (IV) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.
9. Limitation of Liability
IN NO EVENT SHALL LEGENDARY BYTES LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
11. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
